These Terms include an arbitration agreement and a class-action waiver in Section 19. They affect how disputes are resolved. Please read them.
1. Who we are
The Service is provided by R8VEN LLC, a limited liability company organized under the laws of the State of Wyoming, United States, at 30 N Gould St, Ste R, Sheridan, WY 82801, United States (“we”, “us”). We sell our apps under the name Kandedong, a trademark of R8VEN LLC. Contact: support@kandedong.com.
By creating an account, buying a plan or using the Service, you agree to these Terms, to our Privacy Policy, to our Refund Policy and to the License Agreement. If you do not agree, do not use the Service.
2. The Service
The “Service” is the Kandedong Reader, the Kandedong Dictionary, Kandedong Flashcards, the Kandedong Browser Extension when it is available, the KDD Dictionary, character recognition (OCR) and the related features, websites and mini apps that we make available, including this website. There is a free tier and there are paid tiers: Pro subscriptions and a one-time Perpetual plan. What each tier includes is shown on our pricing page. Features can change over time.
3. Eligibility and accounts
You must be at least 16 years old, or the age of digital consent in your country, to create an account. You are responsible for your account and for keeping your sign-in secure. Sign-in is handled by our provider Clerk. You can sign up with an email address or with Google. A Google sign-in and an email sign-in with the same verified address are one account. Give accurate information, and tell us at once about any use of your account that you did not allow.
4. The free tier, the plans and the 7-day trial
- Free tier. No charge, for as long as we offer it. It includes a limited set of features and can include usage limits.
- 7-day Pro trial. A new account gets Pro features for seven days, at no charge and without a payment method. When the trial ends, the account moves to the free tier. Nothing is charged, and you are not enrolled in a paid plan unless you choose one. One trial per person or household. Creating accounts to get more trials is not allowed (Section 8).
- Pro. A subscription billed weekly, monthly or yearly, as shown at checkout.
- Perpetual. One payment for a perpetual license to the version 2 line of the Software, as described on the pricing page and in the License Agreement.
5. Prices and payment
Prices are shown on our pricing page and at checkout, in US dollars. Any tax that applies is added at checkout.
Payments are taken at checkout by our payment provider. Any terms the checkout shows you also apply to the purchase. The provider keeps your payment details. We do not receive or store your full card number.
We can change prices. We tell you before a new recurring price applies to you, and the new price starts at your next renewal after that notice.
6. Automatic renewal, cancelling and reminders
- Automatic renewal. Weekly, monthly and yearly plans renew automatically at the end of each period. Your payment method is charged in advance for the next period, at the current price, until you cancel. By subscribing, you agree to this.
- How to cancel. Cancel at any time from your Kandedong account, or from the link in your receipt. Cancelling stops future renewals.
- After you cancel. You keep Pro until the end of the period you paid for, and then the account moves to the free tier.
- Reminders. Where the law requires it, we send a reminder before a yearly plan renews, with the price, the date and a way to cancel.
- The Perpetual plan does not renew.
7. Refunds and chargebacks
You can ask for a full refund within 14 days of any payment, as set out in our Refund Policy. Refunds go back to the original payment method. If you think a charge is wrong, please contact us first, so we can help. This does not limit your rights under the law or under your card provider's dispute process. Consumers in some regions, for example the EU and the UK, have a legal right to withdraw from a purchase. Nothing in these Terms limits rights that the law does not allow to be waived.
8. License and acceptable use
Your right to use the Software is given in the License Agreement. You also agree not to:
- copy, scrape, export in bulk, redistribute, resell or reverse engineer the Service, the KDD Dictionary or other proprietary content, or use them to build a competing product;
- get around entitlement, security, trial or usage limits, or use paid features without a valid plan;
- create several or false accounts to avoid limits or get more free trials;
- upload or process content that you have no right to use, or that is unlawful, infringing or harmful;
- disrupt or overload the Service, probe or scan it, or use bots, except where we allow it;
- use the Service to break any law or the rights of others.
9. Your content and files
You keep ownership of the PDF files, notes, highlights, bookmarks and other content that you create or open (“Your Content”). Where processing happens on your device, for example opening PDFs and running OCR, Your Content stays on your device and is not uploaded to us. Where a feature, such as account sync, needs us to store Your Content, you give us a limited license to host and process it only to provide that feature. You are responsible for your rights to Your Content and for keeping your own copies.
10. Copyright complaints
If you think content made available through a feature of the Service infringes your copyright, send a notice to support@kandedong.com with: your contact details; the work; the material you object to and where it is; a statement that you believe in good faith that the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you own the right or may act for its owner; and your signature. We remove or disable infringing material where appropriate, and we can close the accounts of repeat infringers.
11. Intellectual property
The Service, the Software, the KDD Dictionary, our trademarks and the related content belong to us or to our licensors and are protected by law. You get only the rights given in the License Agreement and in these Terms. Free dictionaries derived from CC-CEDICT are available under CC BY-SA 4.0, as described in the License Agreement.
12. Feedback
If you send us ideas or suggestions about the Service, you give us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, with no obligation to you.
13. Third-party services
The Service relies on third parties, including Cloudflare (hosting and storage), Clerk (sign-in), a payment provider (payments) and content delivery networks. Their terms can also apply to your use of those parts. We are not responsible for third-party services that we do not control.
14. Disclaimers
The Service is provided “as is” and “as available”. Dictionary entries, translations, pinyin and OCR results can contain errors and are for learning only. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted, secure, timely or free of errors.
15. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, even if we were told they were possible. Our total liability for any claim about the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or USD 50. Some jurisdictions do not allow these limits, so some of them may not apply to you. Nothing here limits a liability that the law does not allow to be limited.
16. Indemnification
To the extent the law allows, you agree to defend and indemnify R8VEN LLC and its officers, employees and agents against claims, damages, liabilities, losses and expenses, including reasonable legal fees, that come from Your Content, from your use or misuse of the Service, from your breach of these Terms or of the License Agreement, or from your breach of any law or of the rights of a third party.
17. Changes to the Service
We can change, add, suspend or stop any part of the Service, including features marked “soon” or “beta”. If we stop a paid feature in a way that materially reduces what you paid for, your remedy is the refund and cancellation rights in these Terms and under the law.
18. Suspension and termination
We can suspend or end your access if you breach these Terms or the License Agreement, if the law requires it, or to protect the Service or other users, with notice where we can give it. You can stop using the Service and delete your account at any time. Sections 7, 8 and 10 to 21 survive termination.
19. Dispute resolution: arbitration and class-action waiver
- Talk to us first. Before you start arbitration, contact us at support@kandedong.com and try to settle the dispute informally for at least 60 days.
- Binding arbitration. Except as stated below, a dispute about these Terms or the Service that is not settled informally is decided by final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in force. Hearings can be remote where the rules allow. The Federal Arbitration Act governs this Section.
- Class-action and jury waiver. Disputes are arbitrated only individually. You and we give up any right to a jury trial and to bring or join a class, collective, consolidated or representative action.
- Exceptions. Either party can bring a claim in a small-claims court if it qualifies, and can ask a court for an injunction to protect intellectual property or confidential information.
- 30-day opt-out. You can opt out of this Section by writing to support@kandedong.com within 30 days of first accepting these Terms, with your name and a statement that you opt out of arbitration.
- Consumer rights. Nothing in this Section overrides mandatory rights that the law of your country gives you, including the right of consumers in the EU, the UK and elsewhere to bring proceedings in their home courts or before their local authorities.
20. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Subject to Section 19, and except where mandatory consumer law gives you rights in your home country, the state and federal courts for Sheridan County, Wyoming, have exclusive jurisdiction over any dispute that is not arbitrated.
21. General
- Changes to these Terms. We can update these Terms. For a material change we give reasonable notice, for example by email or in the app. If you keep using the Service after the change takes effect, you accept it.
- Electronic communications. You agree to receive notices from us electronically.
- Assignment. You cannot assign these Terms without our consent. We can assign them, for example in a merger, an acquisition or a sale of assets.
- Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
- No waiver. If we do not enforce a provision, we do not give it up.
- Severability. If a provision cannot be enforced, the rest stays in effect.
- Sanctions. You confirm that you are not in, and will not use the Service from, a country or as a person under sanctions or embargo that apply.
- Entire agreement. These Terms, with the License Agreement, the Privacy Policy and the Refund Policy, are the whole agreement between you and us about the Service.
